Terms of Service

These Terms of Service ("Terms") govern your use of ClawOps ("Service") operated by JAYNES, GAVIN (trading as ClawOps) ("we", "us", or "our"), an Australian sole trader business. By accessing or using the Service, you agree to be bound by these Terms.

1. Service Description

ClawOps provides managed hosting services for OpenClaw AI assistant bots. The Service includes:

  • Provisioning and management of VPS infrastructure
  • Automated deployment of OpenClaw software
  • Pre-configured Telegram bot integration
  • Monthly AI API credits via OpenRouter
  • Email support
  • Dashboard access for monitoring and configuration

2. Account Registration and Subscription

To use the Service, you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Subscribe to a pricing plan via Stripe payment processing
  • Provide your own Telegram bot token from @BotFather

You are responsible for all activities that occur under your account.

3. Payment Terms

Subscription Fees: The Service is billed monthly at $10/month for the Starter plan. All fees are in U.S. Dollars.

Payment Processing: Payments are processed through Stripe. By providing payment information, you authorize us to charge the applicable fees on a recurring monthly basis.

Auto-Renewal: Your subscription will automatically renew each month unless you cancel before the renewal date.

Price Changes: We reserve the right to change our pricing with 30 days' notice. Existing subscribers will be grandfathered at their current rate for at least 90 days after any price increase announcement.

4. Refund Policy

Australian Consumer Law (ACL) Compliance: Nothing in these Terms excludes any consumer rights you may have under the Australian Consumer Law.

Change of Mind: Due to the automated provisioning of dedicated server resources, we do not offer refunds for change of mind. This does not affect your rights under Australian Consumer Law.

Prorated Refunds (Cancellation): If you cancel mid-month, you may request a prorated refund for the unused portion of the current billing period. Refund requests must be submitted to support@clawops.io within 7 days of cancellation.

Service Issues: If the Service is unavailable for more than 72 consecutive hours due to our infrastructure, you may request a prorated credit or refund for the downtime period.

5. Cancellation and Termination

Your Right to Cancel: You may cancel your subscription at any time through your dashboard or by contacting support@clawops.io. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period
  • Your VPS and bot will be deprovisioned within 7 days after subscription expiry
  • We will provide a final backup of your bot configuration (excluding API keys)

Our Right to Terminate: We reserve the right to suspend or terminate your account if you violate these Terms, use your bot for illegal activities, or fail to pay.

6. User Responsibilities and Acceptable Use

You agree NOT to use the Service to violate any law, send spam, harass others, impersonate any person, distribute malware, scrape user data without consent, interfere with the Service, or generate illegal content including CSAM. You are solely responsible for all content generated or transmitted by your bot.

7. API Usage and Rate Limits

The Service includes OpenRouter API credits. Fair use applies: accounts exceeding 10,000 AI API requests per day on the Starter plan or using excessive server resources may be throttled or suspended. We will notify you before taking action.

8. Data Ownership and Backups

You retain all ownership rights to your bot's configuration, uploaded documents, and conversation logs. Automated daily backups are retained for 7 days. Upon account termination, all data will be permanently deleted within 30 days, except as required by law.

9. Third-Party Services

The Service integrates with Stripe (payments), OpenRouter (AI API access), Telegram (messaging), and Hetzner (VPS infrastructure). Your use of these services is subject to their respective terms. We are not responsible for the availability or policies of third-party services.

10. Service Availability and Support

We strive for high availability but do not guarantee 100% uptime. Email support is provided at support@clawops.io with responses within 48 business hours for Starter plans. Support is provided in English only.

11. Intellectual Property

The Service, including all software, designs, branding, and documentation, is owned by JAYNES, GAVIN (trading as ClawOps). OpenClaw is open-source software subject to its own license. We grant you a limited, non-exclusive, non-transferable license to use the Service for personal or internal business purposes.

12. Disclaimer of Warranties

Australian Consumer Law Notice: Nothing in this section excludes any guarantee, condition, or warranty you have under Australian Consumer Law.

Subject to your statutory rights, the Service is provided "AS IS" without warranties of any kind. AI-generated content may be inaccurate. You are responsible for reviewing and validating all outputs.

13. Limitation of Liability

Australian Consumer Law Notice: Nothing in this section excludes any liability under Australian Consumer Law.

To the maximum extent permitted by law, our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify ClawOps from any claims arising from your violation of these Terms, violation of any law or third-party rights, or content generated by your bot.

15. Dispute Resolution and Governing Law

These Terms are governed by the laws of Australia. Please contact support@clawops.io to resolve disputes informally before pursuing formal proceedings. International customers may also have rights under their local consumer protection laws.

16. Changes to Terms

We may modify these Terms at any time with notice via email and website posting. Continued use constitutes acceptance of revised Terms.

17. General Provisions

These Terms constitute the entire agreement between you and ClawOps. If any provision is unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our written consent.
